  1. ROLES AND RELATIONSHIP
  1. Platform Only. The Food Corridor provides an online platform that helps Kitchen Operators list and manage Kitchen Space and helps Food Businesses find and book Kitchen Space. The Food Corridor is not a property owner and does not lease, sublease, license, manage, or control any Kitchen Space or any other interest in real property. The Food Corridor is not an agent or insurer for any Kitchen Operator, Food Business, property owner, or other third party. The Food Corridor does not provide real estate brokerage services, Kitchen Operator licensing or regulatory services, or other legal services. Users must consult qualified professionals as needed. Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship between you and TFC.
  2. Agreements Between Users. Kitchen Bookings and any other agreements between Kitchen Operators and Food Businesses are between those parties. You enter into those agreements at your own risk. Except as this Agreement expressly states, The Food Corridor is not a party to any agreement between Users (including any agreement about Kitchen Space). The Food Corridor does not control the conduct of Kitchen Operators, Food Businesses, other Users, or third parties, and The Food Corridor disclaims liability for their acts and omissions. The Food Corridor does not control (a) Content in any User’s Account or (b) the condition, suitability, or legal compliance of any Kitchen Space. The Food Corridor disclaims liability for those matters.
  3. Professional Advice. If the Platform or this Agreement provides professional information or recommendations (for example, regarding food safety, legal, insurance, financial, or real estate), such information is for informational purposes only and should not be construed as professional advice. For the avoidance of doubt, The Food Corridor makes FLIP (the Food Liability Insurance Program) available to Kitchen Operators, as further described in Section 6.3, but The Food Corridor is not an insurer. No decision or other action should be made on the basis of such information and no fiduciary or other privileged relationship exists between you and The Food Corridor. The Food Corridor recommends that you seek the advice of a licensed professional qualified to provide advice in such areas.
  1. PLATFORM
  1. Access to the Platform. Subject to this Agreement, during the term of this Agreement, The Food Corridor grants you a personal, non-exclusive, limited, non-transferable, revocable right to access and use the Platform for your own use. If you are an entity, your employees and contractors may access and use the Platform on your behalf only for your internal business purposes. The Food Corridor may suspend or discontinue the Platform, in whole or in part, at any time, with or without notice. All Platform Content is made available to you for informational purposes only. The Food Corridor has not verified the accuracy of and will not be responsible for any errors or omissions in, any Content. You are solely responsible for your use of or reliance on any Content.
  2. Account Creation. You may need an Account to access some parts of the Platform. The Food Corridor may approve or reject any request to create an Account in its sole discretion and may revoke that approval at any time. To create an Account, you must provide information about yourself (“Registration Information”). You shall ensure that your Registration Information is accurate and complete and shall promptly update it as needed to keep it accurate and current. You shall not (a) select or use another person’s Account ID to impersonate that person or (b) use an Account ID that The Food Corridor deems offensive in its sole discretion. The Food Corridor may suspend or terminate your Account, and your access to the Platform, if information you provide is inaccurate, not current, or outside the intended user scope, as determined by The Food Corridor in its sole discretion. By providing your email address, you consent to receive transactional messages and other notices from The Food Corridor, including notices required by law, instead of notices by postal mail. You may opt out of promotional emails by emailing [email protected].
  3. Account Security. Each Account and its user identification and password (an "Account ID") are personal to you. You shall use your Account only for your own use. If you are an organization, only your authorized employees may use your Account for your internal business purposes. You shall not distribute, share, transfer, or assign your Account or Account ID or allow any other person to access your Account or Account ID. You shall use reasonable measures to protect your Account. You are responsible for all activity that occurs through your Account, whether authorized or not. You shall (a) protect the security and confidentiality of your Account ID and (b) promptly notify The Food Corridor if your Account ID is lost, stolen, or compromised. You are responsible for all costs, fees, liabilities, and damages incurred through use of your Account. Transactions completed through your Account will be treated as transactions you authorized. The Food Corridor is not responsible for losses arising from unauthorized use of your Account. You shall promptly notify The Food Corridor of any unauthorized use by emailing [email protected].
  4. Terms for Kitchen Operators Only. The following clauses apply to you if you are a Kitchen Operator.
  1. If you are a Kitchen Operator, once you create an Account and subscribe to a Plan, you may use the Platform to create Listings, manage Kitchen Bookings, process payments, and communicate with Food Businesses. The features available to you depend on the Plan you select.
  2. You can create a Listing through the Platform by completing the listing workflow with the information we request, which may include your Kitchen Space address, a description of your Kitchen Space and amenities, availability, occupant capacity, pricing, images, applicable rules of use, and any eligibility requirements for Food Businesses (such as insurance requirements) (“House Rules”). You will determine the fees that you will charge Food Businesses in connection with Kitchen Bookings or other charges. You may update your Listing information from time to time through the Platform. Food Businesses may search Listings and contact you through the Platform (including by submitting an inquiry or booking request), and you may approve or decline all requests through the Platform.
  3. Once a Food Business contacts you through the Platform (including by submitting an inquiry or Kitchen Booking request), you can respond through the Platform and communicate directly with the Food Business about availability, scheduling, required documentation (for example, insurance or licenses), and your House Rules. If the Food Business submits a Kitchen Booking request, you may review the request and approve or decline it through the Platform, and we will send status notifications to the Food Business through the Platform. If you approve a Kitchen Booking, you and the Food Business are responsible for coordinating access and compliance for the Kitchen Space and for resolving any questions or disputes regarding applicable fees and House Rules directly with each other.
  4. You are solely responsible for entering into an agreement with the Food Business that governs the Food Business’s use of the Kitchen Space. TFC is not a party to any agreement between you and any Food Business (including any booking agreement, kitchen rental agreement, or other arrangement), and TFC is not responsible for enforcing any such agreement.
  5. You acknowledge and agree that:
  • You (and not TFC) are responsible for: (a) the accuracy and completeness of your Listings and House Rules; (b) your kitchen's condition, safety, and compliance with applicable laws and licensing requirements; and (c) any equipment, goods, or services you provide to Food Businesses.
  • You are solely responsible for setting your own rates, fees, deposits (if any), cancellation policies, and other commercial terms for your Kitchen Space, subject to your agreement(s) with Food Businesses and applicable law.
  • If you choose to externalize Platform Fees, you are solely responsible for ensuring that all fee disclosures and pricing communications comply with all applicable local, state, and federal laws, including but not limited to laws governing surcharges, payment method pricing, and consumer disclosures.
  • You are solely responsible for (a) determining your tax reporting obligations and (b) determining which taxes apply and including them in the amounts you charge or collect from Food Businesses (as applicable). You are solely responsible for remitting any taxes you collect or receive to the applicable tax authority.
  • Any disputes between you and a Food Business (including disputes regarding fees, chargebacks, damage, access, cleanliness, compliance documentation, cancellations, or refunds) are between you and that Food Business; TFC may, but is not obligated to, provide limited support through Platform tools or customer support channels.
  1. You hereby authorize TFC to collect all applicable fees which are properly invoiced by you from the Food Business and for TFC to remit such amounts to you in accordance with this Agreement.
  1. Terms for Food Businesses Only. The following clauses apply to you if you are a Food Business.
  1. If you are a Food Business, you may lease a Kitchen Operator’s Kitchen Space through the Platform once the Kitchen Operator approves you and your booking request.
  2. You may send initial inquiries to Kitchen Operators without creating an Account by using an intake form provided through the Platform. To submit a Kitchen Booking request, or to respond to a Kitchen Booking invitation from a Kitchen Operator, you must create an Account and provide the Registration Information requested by TFC in the onboarding flow.
  3. You may use the Platform to review Listings, request a Kitchen Operator as your home kitchen, and submit Kitchen Booking requests. When a Kitchen Operator approves or declines your request, you will receive confirmation and booking status updates through the Platform. Before you book and use a Kitchen Space, you may be required to confirm the Kitchen Operator’s approval, add any additional authorized Users to your Account, provide payment information (or be set up for manual payments), and verify your ACH or PAD account, if applicable. Once you are invited or approved by a Kitchen Operator, your Account may be linked to that Kitchen Operator’s Account so you can access kitchen-specific features (such as calendars, booking workflows, and required compliance information) through the Platform. All applicable fees for Kitchen Bookings and related policies (e.g., cancellations) are determined by the Kitchen Operator. You are responsible for paying all fees for Kitchen Bookings and complying with the Kitchen Operator’s House Rules. The Food Corridor is not responsible for any fees incurred by a Food Business, including but not limited to those related to cancellation, cleaning, laundry, parking and storage.
  4. Food Businesses are solely responsible for entering into any agreement with a Kitchen Operator that governs the Food Business’s access to and use of Kitchen Space (including any kitchen rental agreement, booking agreement, facility rules acknowledgment, or other arrangement). TFC is not a party to any agreement between you and any Kitchen Operator (including any agreement about Kitchen Space), and TFC is not responsible for enforcing any such agreement.
  5. You acknowledge and agree that:
  • You (and not TFC) are responsible for: (a) evaluating whether a Kitchen Space is suitable for your intended use; (b) complying with the applicable Listing, House Rules, and any requirements imposed by the Kitchen Operator (including insurance, permits, licenses, training, sanitation, and safety requirements); and (c) your own conduct and the conduct of any authorized users you invite or allow to access Kitchen Space through your Account.
  • You are solely responsible for ensuring that you have all rights, approvals, and authorizations necessary to operate your business and to produce, store, handle, label, and distribute your products (including any required licenses, permits, inspections, and compliance with applicable food safety and other laws).
  1. Any disputes between you and another User (including disputes regarding fees, chargebacks, deposits, damage, access, cleanliness, compliance documentation, cancellations, scheduling, or refunds) are between you and that User; TFC may, but is not obligated to, provide limited support through Platform tools or customer support channels.
  2. By providing your payment information, you are authorizing TFC to charge all fees which are owed by you to the Kitchen Operator against your checking account, debit card or credit card. All payments due to the Kitchen Operator should be made through the Platform by your provided payment information. You may choose to manually make payments with the approval of the Kitchen Operator.
  1. USE RESTRICTIONS
  1. You agree not to do or attempt to do any of the following and you agree not to allow or encourage any third party to do any of the following:
  1. Use the Platform for any unlawful, fraudulent, or misleading purpose.
  2. Violate any third-party rights, including Intellectual Property Rights, privacy rights, or contractual rights.
  3. Post, upload, submit, transmit, or otherwise make available any User Content that is unlawful, defamatory, obscene, or otherwise harmful, or that violates applicable law.
  4. Misrepresent your identity or affiliation, including by impersonating another person or entity, or by registering for an Account on behalf of another person or entity without authorization.
  5. Interfere with, disrupt, damage, or access in an unauthorized manner the Platform or any systems or networks connected to the Platform, including by introducing malware, circumventing security measures, or attempting to probe, scan, or test vulnerabilities.
  6. Access, scrape, crawl, or harvest Platform Content or data from the Platform using automated means except as expressly permitted by TFC in writing (and, as applicable, subject to TFC’s robots.txt and other technical controls).
  7. Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas or algorithms from the Platform, except to the extent permitted by applicable law.
  8. Copy, modify, create derivative works of, publicly display, publicly perform, republish, or distribute any portion of the Platform or Platform Content except as expressly permitted by this Agreement.
  9. Attempt to circumvent the Platform (including through “off platform” payment solicitation or similar conduct) in a manner intended to avoid fees or platform processes, or otherwise to undermine the integrity of the Platform’s booking or payment workflows. If TFC determines that you have engaged in such circumvention, TFC may change your Account to the Per Client Plan within your then-current 30-day subscription billing period.
  1. TFC may, but is not required to, investigate violations of this Agreement, and may take appropriate action in its reasonable discretion, including removing or disabling access to Platform Content, suspending or terminating Accounts, and cooperating with law enforcement as required.
  2. If you believe that a User engaged in inappropriate behavior or illegal conduct, report the matter to law enforcement immediately. Also email The Food Corridor at [email protected] and include the police report number and the name of the police station. Your report does not require The Food Corridor to take any action beyond what applicable law requires and does not create liability for The Food Corridor to you.
  1. THIRD PARTIES
  1. Third-Party Services. The Platform may link to, integrate with, or rely on services provided by third parties (for example, Stripe, QuickBooks, email or marketing providers, webinar providers, or third-party insurance programs) (“Third-Party Services”). Third-Party Services are operated by their providers, not by The Food Corridor. You acknowledge and agree that:
  1. Your use of any Third-Party Services is at your own risk and is subject to the third party’s applicable terms and policies.
  2. TFC does not endorse or control any Third-Party Services.
  3. TFC is not responsible for the acts or omissions of the providers of Third-Party Services or the accuracy, availability, or reliability of any information, content, goods, data, opinions, advice, or statements made available in connection with any Third-Party Services.
  4. TFC does not promise that any Third-Party Services will be available, accurate, secure, or perform without interruption or errors.
  5. TFC may discontinue or change its integrations with or links to Third-Party Services at any time.
  1. Marketplace and Affiliates. The Platform may include links to, discounts for, or opportunities to buy third-party goods or services (for example, through a marketplace, affiliate link, referral program, or partner offering). The Food Corridor may receive compensation in connection with some third-party offerings (for example, a referral fee or commission). Third-party offerings are provided by third parties and are governed by the third-party’s terms. The Food Corridor is not responsible for third-party goods or services, including fulfillment, warranties, returns, or customer support.
  2. FLIP (Food Liability Insurance Program). TFC may make access to Food Liability Insurance Program (“FLIP”), a third-party insurance program, available through the Platform. Through the FLIP integration, Food Businesses may be directed to FLIP to apply for commercial general liability insurance, and application status and approved insurance documentation may be transmitted from FLIP to the Platform. Kitchen Operators may be opted into the FLIP integration by default when they create an Account but may request to opt out through the Documents Tab in their Account. Kitchen Operators are not charged by TFC for the FLIP integration; Food Businesses are responsible for any premiums or other amounts charged by FLIP or its providers. TFC is not an insurer, insurance broker, or insurance agent, and may receive referral fees or other compensation in connection with insurance purchased through FLIP.

  1. PAYMENT
  1. Subscription Fees; AUTOMATIC RENEWAL. If you are a Kitchen Operator, your access to and use of certain Subscription Services will be tied to the Plan which you select. Additional terms, including subscription amounts, are set forth at https://www.thefoodcorridor.com/pricing/ (the “Payment Policy”), which is incorporated by reference. If there is a conflict between this Agreement and the Payment Policy, the Payment Policy controls solely with respect to subscription amounts.  For Per User Plans (not on the Payment Policy), you agree to the rate established at sign-up.  TFC may add or remove services from the Subscription Services at any time. TFC may bill your designated payment method for all Subscription Fees. To the extent permitted by applicable law, subscriptions for Subscription Services automatically renew for the subscription period until you cancel. Your payment method will be charged at the beginning of each subscription period. Changes to your Plan will be applied to your next subscription period. If TFC is unable to process payment using your designated payment method, TFC may suspend your access to the Subscription Services until payment is received and may continue to attempt to charge your designated payment method until payment is successfully processed. TFC will add a $25 service fee for each month past due, and may cancel or deactivate your account after 3 failed payments.  TFC will provide at least thirty (30) days’ prior notice of any changes to the Subscription Fees applicable to your then-current subscription. For month-to-month Paid Plans, you may cancel by providing at least thirty (30) days’ notice before the next renewal date. If you cancel with less than thirty (30) days’ notice, your cancellation may take effect during the next billing period, and TFC may charge a prorated amount for any portion of that period before cancellation takes effect, except where applicable law requires otherwise. For annual Paid Plans, you may cancel by providing notice before the next renewal date. If you cancel after renewal, your cancellation will take effect at the end of the then-current annual subscription period, and TFC may charge any amounts due for that period, except where applicable law requires otherwise. Any cancellation of your subscription will take effect at the end of your then-current subscription billing period, and no refunds or proration will be provided for any unused portion of the annual Paid Plan.  Any unpaid Manual Platform Fees are charged at cancellation.

By signing up for Subscription Services, you acknowledge that your purchase of the Subscription Services:

  • is subject to automatic renewal;
  • will continue until you cancel the subscription; and
  • is subject to automatic charges on your method of payment.

You may cancel your subscription at any time by contacting [email protected]. Notwithstanding any cancellation of a subscription, you will be responsible for all fees owed for the remainder of the current term of the subscription.

  1. Platform Fees. If you are a Kitchen Operator, you are also responsible for paying applicable Platform Fees in connection with your use of the Platform and Kitchen Bookings or other fees charged to your clients. Platform Fees may vary based on factors such as your selected Plan, the Kitchen Booking fees you charge, and the payment method used for a given transaction, and may be updated from time to time by TFC. Except as expressly provided otherwise, Platform Fees are non-refundable. You are responsible for accurately reporting to TFC (through the Platform or as otherwise required by TFC) information regarding Kitchen Booking fees, payments, and any related charges, including for purposes of calculating applicable Platform Fees. Additional terms regarding Platform Fees, payment processing, and payments between Kitchen Operators and Food Businesses are set forth at https://www.thefoodcorridor.com/pricing/ (the “Payment Policy”), which is incorporated by reference. If there is a conflict between this Agreement and the Payment Policy, the Payment Policy controls solely with respect to payments, Platform Fees, payment processing, and payment disputes such as chargebacks and reversals.
  2. Payment Processing. You may use TFC’s third-party payment processor(s) (“Payment Processors”), including Stripe, to collect payments from Food Businesses for Kitchen Bookings, Kitchen Space use, and related charges. Payment processing services provided by Stripe are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service, together with any other applicable Stripe terms (collectively, the “Stripe Services Agreement”). By using payment processing services through the Platform, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time. You also agree to provide TFC with accurate and complete information about you and your business as reasonably necessary to enable payment processing through the Platform, and you authorize TFC to share that information and transaction information related to your use of payment processing services with Stripe or other applicable Payment Processors.  To initiate the verification process of an ACH or PAD account, TFC may charge or deposit a nominal amount in your checking account, not to exceed one dollar ($1).  Payments are disbursed withing two (2) to ten (10) business days of successful payment processing through Stripe.  TFC is responsible for all Stripe payment processing fees on the Platform.
  3. Payment Disputes; Chargebacks. Disputes regarding fees for Kitchen Bookings are solely between the applicable Kitchen Operator and Food Business. You acknowledge and agree that TFC is not responsible for, and will not bear, the cost of any chargebacks, reversals, refunds, dispute fees, chargeback fees, processing fees, or similar amounts arising from or related to a Kitchen Booking or other transaction between a Kitchen Operator and Food Business.
  1. Initiating a chargeback or dispute. Before initiating a chargeback or other payment dispute with a card issuer, bank, or payment processor, you must first notify TFC at [email protected] and provide TFC and the applicable User a reasonable opportunity to resolve the issue. If a Food Business initiates a chargeback or other payment dispute, the disputed amount may be reversed or withheld and the applicable payment processor may assess dispute, chargeback, processing, or similar fees, including a chargeback fee that is currently $15.
  2. Contesting a chargeback or dispute. To contest a chargeback or payment dispute, the applicable Kitchen Operator must promptly submit documentation through the Platform or other process designated by TFC. Such documentation may include signed contracts, invoices, communication logs, Platform usage data, or other time-stamped information supporting the charge. TFC may, but is not obligated to, assist by submitting information or evidence through Platform tools or Payment Processor workflows; however, TFC does not control and is not responsible for the outcome of any dispute or chargeback determination. If the Kitchen Operator does not timely provide sufficient evidence, the dispute may be resolved against the Kitchen Operator. A Kitchen Operator may seek to recover amounts directly from the applicable Food Business and allow the dispute to resolve in the Food Business’s favor. Dispute processes may take up to 90 days, and the applicable Payment Processor’s determination may be final and may limit TFC’s ability to submit additional evidence or reopen a dispute.
  3. Kitchen Operator obligations and rights. TFC may recover any disputed amounts from the applicable Kitchen Operator, including by offsetting such amounts against amounts otherwise payable to the Kitchen Operator, charging the Kitchen Operator’s payment method on file, issuing an invoice, or using any other recovery method available through the Platform or the applicable payment processor. Failure to pay amounts properly owed to TFC may result in suspension or termination of the Kitchen Operator’s Account, collection activity, or removal from the Platform. If a Kitchen Operator disputes TFC’s recovery of amounts arising from a Food Business-initiated chargeback or payment dispute, the Kitchen Operator remains responsible for reimbursing TFC for the disputed amount and any applicable chargeback, dispute, processing, or similar fees, unless TFC determines that an internal error occurred. If the dispute is resolved in the Kitchen Operator’s favor and TFC receives recovered amounts, or TFC determines that an internal error has occurred, TFC will reimburse the Kitchen Operator for the amount improperly recovered by TFC.
  1. Payment Method Removal (For Food Businesses). If you are a Food Business and you request that TFC remove your payment method, TFC will review your account for any outstanding amounts and upcoming billing activity and will notify the applicable Kitchen Operator of your request. TFC will advise the Kitchen Operator to arrange an alternate payment method with you. TFC will remove your payment method within 24 hours of receiving your request, unless removal is not required because the request was made in error or has otherwise been resolved before the next scheduled billing. Once removed, your payment method may be marked as not verified, and you may be required to provide a new verified payment method before making future payments through the Platform.
  1. TERMINATION
  1. Suspension by TFC. TFC may suspend or terminate your access to the Platform or your Account (in whole or in part) if TFC reasonably believes you have violated this Agreement, violated applicable law, infringed third-party rights, or engaged in conduct that creates risk or potential legal exposure for TFC or other Users. Where reasonably practicable, TFC will provide notice and an opportunity to cure; however, TFC may suspend or terminate immediately if necessary to protect the Platform, Users, or TFC. Repeat or egregious violations may result in permanent suspension, data loss, or notification to law enforcement. You agree to cooperate with any lawful investigation and to provide information upon request. The Food Corridor will exercise these rights in its reasonable discretion, except where otherwise expressly stated in this Agreement.
  2. Termination. You may request to terminate your Account at any time by contacting TFC support at [email protected]. If you are a Food Business and request to terminate your Account, TFC may notify the applicable Kitchen Operator of your request so that the Kitchen Operator can address any outstanding balances, upcoming billing activity, bookings, or other amounts owed by you to the Kitchen Operator. Termination of your Account will not relieve you of obligations incurred prior to termination, including payment obligations, chargebacks, disputes, and obligations under any surviving provisions. Requests to remove a payment method are addressed in Section 7.5.
  3. Effect of Termination. Upon termination, your right to access and use the Platform will cease, and TFC may deactivate or delete your Account and related access credentials, subject to applicable law and TFC’s legitimate business needs (for example, fraud prevention, recordkeeping, and dispute resolution). You will remain liable for any amounts due in accordance with this Agreement after any such suspension or termination relating to the period prior to the termination. Upon suspension or termination of your Account, The Food Corridor may retain any data or User Content for a reasonable time as necessary for legal or business purposes, in accordance with its data retention policy. Requests for access to or deletion of your personal data must be submitted to [email protected]. Sections7 (as to amounts owed and disputes), Sections 8 through 18, and any other sections which by their nature should survive termination will survive termination to the extent applicable.

  5. Any insurance requirements you impose through your House Rules are lawful and appropriate for the intended use of the Kitchen Space.
  1. Warranties by Food Businesses. If you are a Food Business, you represent and warrant that:

  2. DISCLAIMER. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE FOOD CORRIDOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE FOOD CORRIDOR DOES NOT WARRANT THAT (A) THE PLATFORM OR ANY KITCHEN SPACE WILL MEET YOUR REQUIREMENTS OR THAT ACCESS WILL BE UNINTERRUPTED, SECURE, TIMELY, VIRUS-FREE, OR ERROR-FREE; OR (B) ANY CONTENT IS ACCURATE, COMPLETE, TRUTHFUL, OR RELIABLE. YOU ARE RESPONSIBLE FOR YOUR DECISIONS AND ACTIONS BASED ON THE PLATFORM OR ANY CONTENT. THE FOOD CORRIDOR IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF ANY KITCHEN OPERATORS, FOOD BUSINESSES, THEIR GUESTS, OR OTHER THIRD PARTIES OR ANY DAMAGES RESULTING THEREFROM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS OR LIMITATIONS ON STATUTORY RIGHTS, SO THESE DISCLAIMERS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.
  1. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL TFC OR ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, AND SUCCESSORS (COLLECTIVELY, THE “TFC PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PLATFORM, OR ANY CONTENT, LISTINGS, BOOKINGS, OR COMMUNICATIONS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND IN NO EVENT WILL TFC’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PLATFORM, OR ANY CONTENT, LISTINGS, BOOKINGS, OR COMMUNICATIONS EXCEED (I) THE GREATER OF (1) THE AMOUNT PAID BY YOU TO TFC (IF ANY) IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (2) ONE HUNDRED DOLLARS (US $100); OR (II) ANY HIGHER AMOUNT THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.
  2. INDEMNIFICATION. In addition to, and without limiting, the indemnity obligations set forth above, you agree to defend, indemnify, and hold harmless TFC and the TFC Parties from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, judgments, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any allegation that your User Content infringes, misappropriates, or otherwise violates a third party’s rights; (b) your violation of applicable law or regulation; (c) your intentional misconduct or fraud; or (d) your breach of your representations and warranties in this Agreement. TFC will (a) provide you with prompt notice of the claim (provided that failure to provide prompt notice will not relieve you of your obligations except to the extent you are materially prejudiced), (b) allow you to control the defense and settlement of the claim (subject to TFC’s right to participate with counsel of its choosing at its own expense), and (c) reasonably cooperate with you at your expense. You may not settle any claim in a manner that imposes any liability or obligation on, or admits any fault by, any TFC Party without TFC’s prior written consent. Your obligations do not apply to the extent a claim results from the gross negligence or willful misconduct of a TFC Party. Your obligations under this section survive termination of this Agreement. If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, must have materially affected his settlement with the debtor.” If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.
  3. DISPUTE RESOLUTION
  1. Informal Dispute Resolution. If any dispute, claim, or controversy arises out of or relates to the Sites, the Platform, this Agreement, any services, content, listings, purchases, subscriptions, communications, or any relationship between you and The Food Corridor (each, a “Dispute”), you and The Food Corridor agree to first attempt to resolve the Dispute informally by contacting [email protected] and providing a reasonable opportunity to resolve the Dispute.
  2. Arbitration Agreement. This Agreement evidences a transaction involving interstate commerce, and the Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this Section 13 and any arbitration proceedings hereunder. Except for Disputes that may be brought in small claims court (if eligible) or Disputes where either party seeks injunctive or other equitable relief for the actual or threatened infringement, misappropriation, or violation of a party’s intellectual property rights, you and The Food Corridor agree that all Disputes will be resolved by final and binding arbitration on an individual basis. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the AAA rules applicable to the nature of the Dispute, as determined by the AAA, and will be conducted before a single arbitrator. The arbitration will take place in Denver, Colorado, unless the parties agree otherwise or the AAA requires a different location based on applicable rules.
  3. Class Action Waiver. To the fullest extent permitted by law, you and The Food Corridor agree that (a) each Dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, consolidated, or private attorney general proceeding, and (b) the arbitrator may not consolidate the claims of more than one person and may not otherwise preside over any form of representative or class proceeding. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TFC EACH WAIVE ANY RIGHT TO A JURY TRIAL WITH RESPECT TO ANY DISPUTE.
  4. Opt-Out. You may opt out of arbitration and the class action waiver by sending written notice to The Food Corridor at [email protected] within thirty (30) days of the first date you accept this Agreement (or, if you previously accepted, within thirty (30) days of the effective date of the updated arbitration terms). Your opt-out notice must include your name, the email address associated with your account (if any), and a clear statement that you wish to opt out of arbitration.
  5. Batching / Mass Arbitration. If 100 or more similar Disputes are asserted against The Food Corridor by the same or coordinated counsel or are otherwise coordinated (“Mass Arbitration”), the parties agree that the AAA’s mass arbitration procedures (or, if unavailable, a substantially similar batching process) will apply, including the use of staged filings and bellwether proceedings to promote efficient resolution.
  6. Fees; Attorneys’ Fees. The arbitrator may award any relief that a court of competent jurisdiction could award on an individual basis, including injunctive relief and attorneys’ fees where authorized by law or contract. Unless otherwise required by applicable AAA rules or applicable law, each party will bear its own attorneys’ fees and costs.
  7. Governing Law. This arbitration agreement and any Dispute will be governed by the laws of the State of Colorado, without regard to its conflict-of-law provisions, except that the Federal Arbitration Act will govern the interpretation and enforcement of this arbitration agreement to the extent applicable.
  8. Severability. If any portion of this Dispute Resolution section is found to be unenforceable, the unenforceable portion will be severed and the remainder will remain in effect; provided that if the Class Action Waiver is found unenforceable, then this entire Dispute Resolution section will be null and void.
  1. PRIVACY. We respect the privacy of our Users at The Food Corridor. Your use of the Platform is subject to TFC’s Privacy Policy, which describes how TFC collects, uses, and shares your personally information. We also cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper means. You are solely responsible for reviewing the Privacy Policy and ensuring that your data use preferences are aligned with your usage of the Platform. You acknowledge and agree that you provide your personal information at your own risk.
  2. NOTICES. You shall provide each notice that this Agreement requires you to provide to The Food Corridor in writing. You shall deliver each notice by hand delivery, certified U.S. mail (return receipt requested), or overnight courier (with confirmation of receipt) to: The Food Corridor, Inc., 3311 McCurdy Street, Austin, TX 78723 (or any other address that The Food Corridor identifies on the Sites for notices). The Food Corridor shall be deemed to have received your notice when the delivery method provides confirmed receipt. The Food Corridor may provide each notice or other communication that this Agreement permits or requires in writing by (a) email, (b) regular mail, or (c) posting on the Sites or through the Platform, in each case as The Food Corridor chooses. For notices by email, you shall be deemed to have received the notice when The Food Corridor transmits the email. The Food Corridor is not responsible for any filtering or blocking by your email service provider or network.
  3. CONTACT. If you have any questions on this Agreement, please contact The Food Corridor at [email protected].
  4. FORCE MAJEURE. TFC will not be in breach of this Agreement, and will not be liable for any delay or failure in performance, to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, government actions or orders, or internet or infrastructure outages. TFC will use commercially reasonable efforts to resume performance as promptly as practicable.
  5. GENERAL. If any provision of this Agreement is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. TFC’s failure to enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. Except as expressly set forth in this Agreement, the exercise by either party of any of its remedies under this Agreement will be without prejudice to its other remedies under this Agreement or otherwise. A printed version of this Agreement and any notice provided in electronic form hereunder, will be admissible in administrative or judicial proceedings to the same extent and subject to the same conditions as other business documents or records originally generated and maintained in printed form. You may not assign or transfer this Agreement (by operation of law or otherwise) without TFC’s prior written consent. TFC may assign this Agreement without restriction. Any attempted assignment in violation of this section is void. This Agreement binds and benefits the parties and their permitted assigns.
